These Terms of Service (“Terms”) govern your access to and use of the websites, applications, forms, communications (including SMS), and services provided by Givesurance Insurance Services, Inc. (“Givesurance,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.

1) Who We Are (Broker, Not Carrier)
Givesurance is an insurance broker. We are not an insurance company, underwriter, or claims administrator. We place insurance with third-party insurance companies (“Carriers”). Any insurance policy is solely between you and the Carrier. We do not guarantee coverage, pricing, terms, or claims outcomes. We do not provide legal, tax, or accounting advice.
2) Where We Operate (Licensure & States)
We offer brokerage services to customers located in the following jurisdictions (subject to applicable licensing and Carrier availability): AL, AZ, AR, CA, CO, DE, DC, GA, ID, IL, IN, IA, KS, KY, LA, ME, MD, MI, MN, MO, NE, NV, NJ, NC, ND, OH, OK, OR, PA, SC, SD, TN, TX, UT, VA, WA, FL, WY.
Licensing details and state authorizations may change. Availability of products varies by state and Carrier. We may decline or terminate service if a requested product is unavailable or your risk profile does not meet Carrier guidelines.
3) Quotes, Binds, and Certificates
Quotes are estimates only. All quotes are subject to underwriting and may change based on complete and verified information, including but not limited to applications, loss runs, MVRs, credit-based insurance scores (where permitted), payrolls, receipts, vehicle schedules, driver rosters, and inspections.
Coverage is not bound until the Carrier (or authorized MGA) issues written confirmation of bind or policy documents. Emails, verbal assurances, or in-progress applications do not bind coverage.
Certificates of Insurance (COIs) are evidence of coverage only and do not alter policy terms, limits, or endorsements.
4) Your Responsibilities
Provide complete, accurate, and current information and promptly notify us of any changes (e.g., drivers, vehicles, operations, locations, revenues, filings).
Review all policy documents, endorsements, exclusions, conditions, limits, deductibles, and forms upon issuance and at renewal.
Pay all premiums, fees, taxes, and charges when due.
Follow Carrier risk-control and compliance requirements.
Report claims or incidents promptly to the Carrier (and to us as your broker, if requested).
Misrepresentation or omission may lead to quote withdrawal, declination, rescission, or denial of a claim.
5) Fees, Payments, Cancellations, Refunds
Broker fees (if any) and service charges will be disclosed when quoted or invoiced. Broker fees are generally earned on placement and may be non-refundable unless prohibited by law.
Premium financing: If you finance premiums, you are bound by the finance agreement. Missed payments may cause policy cancellation by the finance company.
Cancellation: Policies may be canceled per policy terms or law (e.g., non-payment, underwriting reasons, insured request). Short-rate penalties may apply. Any return premium is subject to Carrier calculation, audit adjustments, minimum earned provisions, and finance balances.
6) Audits and Adjustments
Where applicable (e.g., WC, GL, Motor Truck Cargo), policies may be audited. You must cooperate, provide records, and pay any additional premium due. Failure to cooperate can result in estimated (often higher) final premiums, non-renewal, or cancellation (per law).
7) Claims and Incident Reporting
You are responsible for promptly filing claims with the Carrier per policy instructions. We will assist as your broker, but we do not adjust claims and have no authority over Carrier claims decisions, coverage determinations, or payments.
8) Electronic Communications & E-Signatures
By using our services, you consent to receive communications electronically (including email, SMS, portal messages) and to transact with electronic signatures and forms where allowed by law. You may withdraw consent where legally permitted, but that may affect service speed or availability.
9) Acceptable Use (Prohibited Conduct)
You agree not to:
Violate applicable laws or infringe others’ rights;
Use our sites/services to transmit malware, spam, or unlawful content;
Scrape, reverse-engineer, or attempt to bypass security;
Misrepresent your identity, licensure, or authority to bind coverage.
We may suspend or terminate access for violations.
10) Intellectual Property
All site content, trademarks, logos, and software are owned by Givesurance or its licensors and protected by IP laws. You may not use, copy, or distribute our content except as allowed by these Terms or with written permission.
11) Third-Party Sites & Tools
Our site may link to third-party websites or tools. We are not responsible for their content, availability, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

Your use of our services is also governed by our Privacy Policy.

13) Disclaimers (Serious Reality Check)
Services are provided “AS IS” and “AS AVAILABLE.”
We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that quotes will lead to a bindable policy, that coverage meets your unique risk needs (unless explicitly documented), or that claims will be covered or paid.
14) Limitation of Liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or lost profits/revenues, arising from or related to your use of our services. Our total liability for direct damages will not exceed the greater of: (a) the broker fee you paid us for the specific transaction giving rise to the claim, or (b) $1,000. Some states do not allow certain limitations, so these may not apply to you.
15) Indemnification
You agree to defend, indemnify, and hold harmless Givesurance and our officers, directors, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your (a) use of our services, (b) breach of these Terms, or (c) violation of law or third-party rights.
16) SMS Terms of Service
Opt-in & Message Types: By opting in via web form, quote request, application, or any other channel, you consent to receive SMS messages from Givesurance, including customer care, account notifications, policy reminders, renewal alerts, document or COI notices, and marketing (where permitted).

17) Age & Eligibility
You must be 18 or older and legally able to enter contracts. You represent and warrant that all information you provide is accurate and that you have authority to act for any business you represent.
18) Changes to the Services or Terms
We may update these Terms at any time. Changes are effective when posted on our website with a revised effective date. Continued use after changes means you accept the updated Terms.
19) Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the State of California (without regard to conflicts of laws). You agree to exclusive jurisdiction and venue in state or federal courts located in Los Angeles County, California. You waive any objection to those courts’ jurisdiction and venue. Each party waives the right to a jury trial to the extent permitted by law.

20) Termination
We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, non-payment, or as required by law or Carrier instructions. You may stop using our services at any time. Termination does not relieve you of obligations incurred before termination (e.g., fees, premiums).
21) Miscellaneous
Severability: If any provision is unenforceable, the remainder stays in effect.
No waiver: Our failure to enforce a provision isn’t a waiver.
Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale.
Entire agreement: These Terms plus any service-specific agreements or disclosures are the entire agreement between you and Givesurance regarding the services.

Website Use & Account (If You Offer Logins)
If you create an account, you’re responsible for safeguarding credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may impose usage or storage limits and may modify or discontinue features at our discretion.
Acceptable Content (If You Host User Content)
If your site allows uploads or reviews, you are solely responsible for your content. Do not post unlawful, infringing, defamatory, or harmful material. We may remove content that violates these Terms or the law.
Important Disclosures for Insurance Buyers (Plain English)
Nothing is final until the Carrier issues a bind confirmation or policy.
Read your policy. Understand exclusions, deductibles, conditions, and endorsements.
Tell us the truth. Incomplete or inaccurate info can blow up quotes, bind, or claims.
Deadlines matter. Missing payments or paperwork can get you canceled.
We’re your broker, not your insurer. We advise and place—Carriers underwrite and pay (or deny) claims.
